1. Service description
delewarellc.com provides Delaware LLC formation, EIN filing, ITIN application, registered agent service, and US compliance reminders for non-resident founders. Specifically we:
- File a Certificate of Formation with the Delaware Division of Corporations.
- Provide a Delaware registered agent address for the LLC.
- File Form SS-4 by fax with the Internal Revenue Service to obtain an EIN.
- Prepare a Delaware-compliant operating agreement.
- (Compliant and Done For You plans) File Form W-7 through a Certified Acceptance Agent for an ITIN.
- (Done For You plan) File Form 5472 plus a pro-forma Form 1120 in Year 1.
- Introduce you to Mercury, Relay, and Wise for US business banking applications. The bank, not delewarellc.com, makes the final approval decision.
2. What we do not do
delewarellc.com is not a law firm, accounting firm, or financial advisor. We do not provide legal advice, tax advice, or financial advice. We file documents on your behalf as a formation service and registered agent. For legal or tax matters specific to your circumstances, consult a US-licensed attorney or Certified Public Accountant.
3. Pricing and what is included

The $90 Delaware state filing fee is forwarded from your payment to the state. The $300 annual Delaware franchise tax is paid by you directly to the State of Delaware every June 1 and is not included in any plan fee. Year 2 onward, the registered agent renewal costs $$100 per year.
4. Refunds
Detailed refund terms appear in our Refund Policy. In summary: full refunds are available for 7 days from purchase, provided we have not yet submitted the Certificate of Formation to the Delaware Division of Corporations. Once the Certificate is submitted, the $90 state fee becomes non-refundable; remaining service-fee refunds are calculated as outlined in the Refund Policy.
5. Customer obligations
You agree to:
- Provide accurate personal and business information.
- Promptly respond to information requests so we can meet filing deadlines.
- Pay the $300 Delaware franchise tax every June 1 directly to the State of Delaware. delewarellc.com reminders are courtesy notices and do not transfer the legal obligation.
- Comply with FinCEN BOI reporting requirements within 90 days of formation and within 30 days of any ownership change.
- Use the LLC only for lawful business activity.
6. Limitation of liability
Topslice LLC's total liability for any claim arising from your use of delewarellc.com is capped at the fees you paid us in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages, including loss of business opportunity, lost profits, or third-party claims against the LLC. We are not liable for decisions made by the Delaware Division of Corporations, the Internal Revenue Service, FinCEN, or banking partners.
7. Indemnification
You agree to indemnify Topslice LLC against claims arising from your use of the LLC, breach of these Terms, or violation of US or international law.
8. Termination
You may terminate the registered agent relationship by filing a Certificate of Change of Registered Agent with the Delaware Division of Corporations. delewarellc.com may terminate service if you fail to pay fees, provide false information, or use the LLC for activity that violates US law. On termination we transfer your formation documents and EIN confirmation to you and notify the State of Delaware.
9. Governing law and disputes
These Terms are governed by the laws of the State of Delaware. Any dispute is resolved in the state courts located in New Castle County, Delaware, or in the Delaware Court of Chancery where jurisdiction applies. You waive any objection to venue.
10. Changes to these Terms
We may update these Terms when services or laws change. Material changes are emailed to active customers at least 30 days before they take effect.
