Scope of service
Delewarellc provides Delaware LLC formation services for $297 + Delaware state fee, one-time. The bundle includes filing the Delaware Certificate of Formation, paying the $110 state fee on your behalf, registered agent service for Year 1, applying for an EIN via Form SS-4, providing an Operating Agreement template, submitting applications to 4-5 banks, and providing a Form 5472 awareness brief.
What is not included
- Legal advice. Delewarellc is not a law firm. Engage a Delaware corporate lawyer for legal questions.
- Tax advice. Delewarellc is not a CPA firm. Engage a qualified tax professional for tax filings including Form 5472.
- Bank approval. Banks decide independently; we apply to 4-5 banks but do not guarantee any specific approval.
- Foreign qualification in states other than Delaware.
- Trademark filings, contract review, or any other professional service outside formation.
Customer responsibilities
- Provide accurate identity documentation (passport, address).
- Provide accurate business description.
- Pay the $300 Delaware annual franchise tax each year by June 1 (or accrue penalties).
- File any required federal, state, and home-country tax returns.
Refund policy
If we cannot file the Certificate of Formation due to a problem on our side (rejected paperwork that we prepared incorrectly), we refund the full $297. If the filing is rejected because of customer-provided information (wrong name, conflicting trademark, etc.), we work with you to correct and re-file at no additional charge but the state fee may apply again if Delaware rejected the original filing.
Once the Certificate of Formation has been accepted by Delaware, the $297 is non-refundable because the service has been substantially performed. Bank approvals and EIN issuance happen after the Certificate is filed and are not part of the refund-trigger conditions.
Liability
Delewarellc is liable for direct damages caused by our own errors in performing the formation service, up to the amount paid for the service ($297). We are not liable for consequential damages, lost profits, missed tax filings, or any third-party action (IRS, Delaware Division of Corporations, banks). Customers are responsible for their own tax compliance and legal compliance.
Governing law
These terms are governed by Delaware law. Disputes are resolved by binding arbitration in Delaware or, at the customer's option, in the customer's home jurisdiction consistent with applicable consumer protection law.
